Licență Font Desktop
1. PĂRȚILE
Prezentul Contract este încheiat între:
Tine, Utilizator al Fontului pe care îl achiziționezi, numit în continuare “Utilizatorul” și OGRADA TYPE COMPANY SRL, reprezentată legal de Andrei Ogradă, având calitatea de Administrator, Autorul Fontului, numită în continuare “Autorul” sau “Ograda.Co”.
Prin achiziționarea și instalarea Fontului ești în mod automat de acord cu toate prevederile acestui contract, astfel cum apar ele mai jos.
2. OBIECTUL
Obiectul Contractului îl reprezintă cesiunea de către Ograda.Co a dreptului de utilizare a Fontului achiziționat de către Utilizator pentru Desktop, pe un număr de calculatoare specificat în pachetul de Licență achiziționat.
3. DREPTURILE DE AUTOR
Toate drepturile morale și patrimoniale asupra Fontului rămân ale Ograda.Co, iar dreptul de utilizare conferit Utilizatorului este doar în limitele prevăzute de acest Contract.
Utilizatorul nu are dreptul de a reproduce permanent sau temporar Fontul, prin punerea Fontului la dispoziția altor persoane, prin orice mijloc și sub orice formă, inclusiv prin operațiuni de tipul: instalarea, stocarea, rularea, afișarea sau transmiterea în rețea către terțe persoane.
Atunci când Utilizatorul are dreptul de a permite utilizarea Fontului și de alte persoane, aceste situații sunt prevăzute expres în acest Contract.
Utilizatorul nu are dreptul de a adapta sau modifica Fontul, pentru a crea un font nou, indiferent de motive.
Utilizatorul nu are dreptul de a distribui sau de a închiria copii ale Fontului, sub orice formă.
4. NATURA NEEXCLUSIVĂ A DREPTULUI DE UTILIZARE
Utilizatorul nu poate ceda dreptul său de a utiliza Fontul unei alte persoane decât celor prevăzute expres în acest Contract sau, dacă nu sunt numite în Contract, doar cu consimțământul expres al Ograda.Co, dat în scris și înainte ca Utilizatorul să cedeze dreptul său altei persoane.
5. NUMĂRUL DE UTILIZATORI
Utilizatorul are dreptul de a instala Fontul, în baza acestei Licențe, doar pe un număr de calculatoare precizat în pachetul de Licență achiziționat.
În cazul în care Utilizatorul instalează Fontul sau permite instalarea pe mai multe calculatoare, e necesar să achiziționeze Licențe suplimentare sau o Licență adecvată numărului de calculatoare pe care este instalat Fontul.
6. MODALITĂȚILE DE UTILIZARE
7. LIMITĂRI ALE DREPTULUI DE UTILIZARE
Utilizatorul nu poate utiliza Fontul pentru web, fiind disponibilă achiziționarea unei licențe distincte pentru Web Font.
Această Licență nu include utilizarea literelor pentru realizarea siglelor sau a altor elemente de identitate vizuală, utilizarea literelor în aplicații, jocuri, hardware și software. Pentru utilizarea Fonturilor în aceste scopuri, Utilizatorul poate contacta Ograda.Co pentru un Contract de Licență personalizat.
Totodată, această Licență nu poate fi folosită de producătorii de echipamente (OEM). Dacă Utilizatorul este un producător de echipamente, acesta va contacta Ograda.Co pentru un Contract de Licență personalizat.
De asemenea, Ograda.Co își păstrează toate drepturile de autor asupra Fonturilor, astfel cum este specificat în cadrul Articolului 3 din acest contract.
8. ÎNCORPORĂRI ALE FONTULUI
1. Textul din document poate fi vizualizat și printat, dar nu poate fi editat; și
2. Documentul este securizat astfel încât destinatarii documentului nu pot să extragă sau să utilizeze Fontul încorporat.
9. TRANSMITEREA DREPTULUI DE UTILIZARE CĂTRE TERȚI
Utilizatorul poate oferi acces la utilizarea Fontului, persoanei (fizice sau juridice) care e responsabilă de publicitate sau persoanei (fizice sau juridice) care realizează printarea materialelor, cu condiția ca Utilizatorul să se asigure că aceste persoane nu utilizează Fonturile decât pentru Utilizator și că vor șterge Fonturile la finalizarea lucrării.
Persoanele cărora Utilizatorul le oferă acces nu au dreptul de a utiliza Fontul pentru a realiza producția și printul unor materiale în nume propriu sau pentru alți clienți în afara Utilizatorului.
10. REALIZAREA DE COPII DE BACK-UP
Utilizatorul poate stoca o copie a Fontului în scopuri de arhivare și back-up, pe un singur dispozitiv sau mediu (ex: doar pe un hard disk extern, doar pe un server de back-up, doar pe un cont în cloud).
11. DURATA DREPTULUI DE UTILIZARE
Durata cesiunii dreptului de utilizare este egală cu durata existenței drepturilor patrimoniale de Autor ale Ograda.Co.
12. ÎNTINDEREA TERITORIALĂ A DREPTULUI DE UTILIZARE

14. MODALITATEA DE PLATĂ
Prețul va fi plătit în Lei (RON), la cursul Euro (€)-Leu (RON) stabilit de Banca Națională a României din ziua plății.
15. GARANȚII
Ograda.Co nu garantează că Software-ul nu are erori și viruși care pot afecta calculatoarele pe care e instalat sau programele instalate pe aceste calculatoare și nu poate fi ținut răspunzător pentru niciun prejudiciu material sau moral suferit de Utilizator sau de terțe persoane ca urmare a instalării Software-ului.
16. ACTUALIZĂRI
Pentru a beneficia de versiunea actualizată, Utilizatorul trebuie să descarce varianta nouă a Fontului din contul de utilizator pe care l-a utilizat la descărcarea versiunii anterioare, sau să contacteze Ograda.Co cu o dovada a achiziției precedente.
Ograda.Co nu este însă obligat să realizeze versiuni noi ale Fontului achiziționat de Utilizator. Dreptul de a realiza aceste versiuni și de a stabili momentul realizării acestora este exclusiv al Ograda.Co.
17. DREPTUL DE AUDITARE
La solicitarea Ograda.Co, Utilizatorul va realiza un audit pentru a confirma că folosește Fonturile achiziționate pe un număr de calculatoare ce nu depășește numărul maxim permis potrivit pachetului de Licență achiziționat. Acest audit trebuie transmit Ograda.Co în cel mult 10 (zece) zile lucrătoare de la data solicitării.
18. RĂSPUNDEREA PENTRU ÎNCĂLCAREA CONTRACTULUI
18.1. UTILIZAREA FĂRĂ ACHIZIȚIONAREA UNEI LICENȚE
Dacă Fontul dezvoltat de Ograda.Co este utilizat pe unul sau mai multe calculatoare fără achiziționarea unei Licențe, Utilizatorul va plăti prețul Licenței și, la solicitarea Ograda.Co, Utilizatorul va plăti totodată întregul prejudiciu moral și material cauzat Autorului, pentru toată perioada de utilizare neautorizată a Fontului.
18.2. ÎNCĂLCAREA DREPTURILOR DE AUTOR
Cuantumul prejudiciului datorat va fi cel puțin egal cu suma pe care Utilizatorul a dobândit-o prin reproducerea permanentă sau temporară a Fontului sau a unor fonturi derivate, adaptarea sau transformarea Fontului sau a unor fonturi derivate, distribuirea sau închirierea de copii ale Fontului sau a unor fonturi derivate sau cesiunea dreptului de utilizare a Fontului sau a unor fonturi derivate.
18.3. DEPĂȘIREA NUMĂRULUI DE CALCULATOARE
18.4. NERESPECTAREA RESTRICȚIILOR LA UTILIZARE
Dacă Utilizatorul folosește Fontul pentru scopurile în care Licența nu poate fi utilizată, prevăzute la Articolul 7 din Contract, Utilizatorul va plăti Autorului întregul prejudiciu moral și material cauzat.
Cuantumul prejudiciului datorat va fi cel puțin egal cu suma pe care Utilizatorul a dobândit-o prin utilizarea neautorizată a Fonturilor.
18.5. UTILIZAREA DE CĂTRE TERȚI ÎN ALTE SCOPURI DECÂT PENTRU REALIZAREA MATERIALELOR ÎN NUMELE UTILIZATORULUI
Cuantumul prejudiciului datorat va fi cel puțin egal cu suma pe care terțul a dobândit-o prin utilizarea neautorizată a Fonturilor.
19. LITIGII ȘI LEGEA APLICABILĂ CONTRACTULUI
Prezentul Contract reprezintă un contract de cesiune de drepturi de autor reglementat de dispozițiile Legii nr. 8/1996 privind drepturile de autor și drepturile conexe. Legea aplicabilă prezentului Contract este Legea Română.
Părțile convin ca toate litigiile intervenite între ele în legătură cu prezentul Contract să fie supuse soluționării de către instanțele române, potrivit normelor de competență prevăzute de Legislația Română.
Desktop Font License
1. THE PARTIES
This present Agreement will apply between:
You, the User of the Font you are acquiring, hereafter referred to as the “User” and OGRADA TYPE COMPANY SRL, legally represented by Andrei Ogradă, acting as Administrator, the Author of the Font, henceforth referred to as the “Author” or “Ograda.Co”.
By purchasing and installing the Font, You automatically agree to all the provisions of this Agreement, as they appear below.
2. OBJECT
The object of the Agreement is the assignment by Ograda.Co of the right to use the Desktop Font purchased by the User on a number of computers specified in the purchased License package.
3. AUTHOR’S RIGHTS
All moral and economic rights to the Font remain with Ograda.Co, and the User’s right to use is only within the limits set forth in this Agreement.
The User does not have the right to permanently or temporarily reproduce the Font by making the Font available to other third parties by any means and in any form, including operations such as: installing, storing, running, displaying or transmitting to others.
When the User has the right to allow the use of the Font by other third parties, these cases are expressly provided for in this Agreement.
The User does not have the right to adapt or change the Font to create a new font for any reason.
The User does not have the right to distribute or rent copies of the Font in any form.
4. NON-EXCLUSIVE NATURE OF THE RIGHT OF USE
The User acquires a non-exclusive right to use the purchased Font. As a result, Ograda.Co can still use the Font and may lease the right to use the Font to others.
The User may not assign his/her right to use the Font to any person other than those expressly provided for in this Agreement or, unless specifically named in the Contract, with the explicit consent of Ograda.Co, in writing and before the User assigns it to third parties.
5. NUMBER OF USERS
The User has the right to install the Font based on this License only on a number of computers specified in the purchased License package.
If the User installs the Font or allows installation on multiple computers, it is necessary for him/her to acquire additional Licenses or a License appropriate to the number of computers on which the Font is installed.
6. METHODS OF USE
The User has the right to install the Font and use it to make print or marketing materials, either alone or in combination with other fonts, including but not limited to advertising, publications and (broadcast) media.
7. LIMITATIONS ON THE RIGHT OF USE
The User does not have the right to make products containing the purchased Font, nor to sell letters that make up the Font as stand-alone letters or alphabet products.
The User can not use the Font to be displayed on websites, a distinct Web Font License being available for purchase.
This License does not include the use of letters to make logos or other visual identity, the use of letters in applications, games, hardware and software. To use the Fonts for these purposes, the User may contact Ograda.Co for a customized License Agreement.
At the same time, this License can not be used by equipment manufacturers (OEM). If the User is a manufacturer of equipment, he will contact Ograda.Co for a personalized License Agreement.
Ograda.Co also retains all copyrights on Fonts as specified in Article 3 of this Agreement.
8. EMBEDDING OF THE FONTS
The User can embed the Font into digital documents (e.g., in a .pdf document) with the following two conditions:
1. The text in the document can be viewed and printed but can not be edited; and
2. The document is secured so that the recipients of the document can not extract or use the embedded Font.
9. TRANSMISSION OF THE RIGHT OF USE TO THIRD PARTIES
The User can grant access to use the Font to the entity (individual or company) that is responsible for advertising or the entity (individual or company) who prints the materials, provided that the User ensures that these people use the Fonts only for the User and that they delete the Fonts at the completion of the project.
Individuals to whom the User grants access are not allowed to use the Font to produce and print materials on their own behalf or for other clients outside of the User.
10. MAKING OF BACK-UP COPIES
The User can store a copy of the Font for archiving and back-up purposes on a single device or medium (e.g. only on an external hard drive, only on a back-up server, on a cloud account only).
11. DURATION OF THE RIGHT OF USE
The duration of the right of use is equal to the duration of the patrimonial rights of the Author i.e. Ograda.Co.
12. TERRITORIAL USE OF THE RIGHT OF USE
The right of use is for the entire national and international territory.
13. PRICE
The price for the License for the use of the Font is provided for each Font in its presentation section.
14. THE PAYMENT METHOD
The price will be paid in Lei (RON) at the Euro(€)-Leu (RON) exchange rate set by the National Bank of Romania on the day of the payment.
15. WARRANTIES
Ograda.Co guarantees that the Font Software will work for 30 days from the date of purchase, however it does not guarantee that it will work on any computer and on any operating system.
Ograda.Co does not guarantee that the Software has no errors or viruses that may affect the computers on which it is installed or the programs installed on these computers and can not be held liable for any material or non-material damage suffered by the User or third parties as a result of installation of the Software.
16. UPDATES
Ograda.Co provides the User with updated versions of the purchased font without any additional costs for the User.
In order to benefit from the updated version of the Font, the User must download the new version of the Font from the user account he used to download the previous version, or contact Ograda.Co with proof of previous purchase.
Ograda.Co is not required to make new versions of the User-purchased Font. The right to make and release these versions is exclusive to Ograda.Co.
17. AUDITS
Upon request by Ograda.Co, the User will perform an audit to confirm that it uses the Fonts purchased, on a number of computers that do not exceed the maximum allowed under the purchased License package. This audit must be submitted to Ograda.Co within 10 (ten) working days of the request.
18. LIABILITY FOR BREACH OF CONTRACT
18.1. UTILIZATION WITHOUT THE PURCHASE OF A LICENSE
If the Font developed by Ograda.Co is used on one or more computers without the purchase of a License, the User will pay the License price and, upon Ograda.Co's request, the User will also pay all non-material and material damages to the Author for the entire period of unauthorized use of the Font.
18.2. BREACH OF COPYRIGHT
If the User infringes the copyright of Ograda.Co as provided in Article 3 and Article 4 of this Agreement, the User will pay to the Author all material and non-material damage caused.
The amount of damage due shall be at least equal to the amount the User has obtained by permanently or temporarily reproducing the Font or derived fonts, adapting or transforming the Font or derived fonts, distributing or renting copies of the Font or some derived fonts or assignment of the right to use the Font or derived fonts.
18.3. EXCEEDING THE NUMBER OF COMPUTERS
If the Font developed by Ograda.Co is used on more computers than the number provided in the License, the User will pay the License price corresponding to the number of computers that he has used the Font on, and upon Ograda.Co's request, the User will pay the entire non-material and material damages caused to the Author, for the entire period of unauthorized use of the Font.
18.4. FAILURE TO COMPLY TO RESTRICTIONS OF USE
If the User makes use of the Font for purposes that the License may not be used under Article 7 of the Agreement, the User will pay to the Author all non-material and material damages caused.
The amount of damage due shall be at least equal to the amount the User has obtained through the unauthorized use of the Fonts.
18.5. THIRD PARTIES USES FOR PURPOSES OTHER THAN THE MAKING OF MATERIALS IN THE NAME OF THE USER
If a third party uses the Font in his own name or for other clients except the User, both the third party and the User will pay to the Author all non-material and material damages caused jointly.
The amount of damage due will be at least equal to the amount the third party has acquired through the unauthorized use of the Fonts.
19. LITIGATIONS AND LAW APPLICABLE TO THE CONTRACT
The present Contract is a contract for the transfer of copyright regulated by the provisions of Law no. 8/1996 on copyright and related rights. The law applicable to this contract is the Romanian Law.
The Parties agree that all disputes between them in connection with this Contract shall be subject to settlement by the Romanian courts, in accordance with the rules of jurisdiction provided by Romanian Law.

Tine, Utilizator al Fontului pe care îl achiziționezi, numit în continuare “Utilizatorul” și OGRADA TYPE COMPANY SRL, reprezentată legal de Andrei Ogradă, având calitatea de Administrator, Autorul Fontului, numită în continuare “Autorul” sau “Ograda.Co”.
Prin achiziționarea și instalarea Fontului ești în mod automat de acord cu toate prevederile acestui Contract, astfel cum apar ele mai jos.
2. OBIECTUL
Obiectul Contractului îl reprezintă cesiunea de către Ograda.Co a dreptului de utilizare a Fontului Web achiziționat de către Utilizator pentru domeniul web specificat în factura care confirmă achiziționarea Fontului de către Utilizator.
3. DREPTURILE DE AUTOR
Toate drepturile morale și patrimoniale asupra Fontului rămân ale Ograda.Co, iar dreptul de utilizare conferit Utilizatorului este doar în limitele prevăzute de acest Contract.
Utilizatorul nu are dreptul de a reproduce permanent sau temporar Fontul, prin punerea Fontului la dispoziția altor persoane, prin orice mijloc și sub orice formă, inclusiv prin operațiuni de tipul: instalarea, stocarea, rularea, afișarea sau transmiterea în rețea către terțe persoane.
Atunci când Utilizatorul are dreptul de a permite utilizarea Fontului și de alte persoane, aceste situații sunt prevăzute expres în acest Contract.
Utilizatorul nu are dreptul de a adapta sau modifica Fontul, pentru a crea un Font nou, indiferent de motive.
Utilizatorul nu are dreptul de a distribui sau de a închiria copii ale Fontului, sub orice formă.
4. NATURA NEEXCLUSIVĂ A DREPTULUI DE UTILIZARE
Utilizatorul nu poate ceda dreptul său de a utiliza Fontul unei alte persoane decât celor prevăzute expres în acest Contract sau, dacă nu sunt numite în Contract, doar cu consimțământul expres al Ograda.Co, dat în scris și înainte ca Utilizatorul să cedeze dreptul său altei persoane.
5. NUMĂRUL DE DOMENII WEB
Utilizatorul are dreptul de a instala Fontul, în baza acestei Licențe, doar pe un domeniu web precizat în factura care confirmă achiziționarea Licenței.
În cazul în care Utilizatorul instalează Fontul sau permite instalarea pe alt domeniu web decât este specificat în factura care confirmă achiziționarea Fontului, acesta va achiziționa o Licență suplimentară ce acoperă noul domeniu web.
6. NUMĂRUL DE VIZUALIZĂRI ALE SITEULUI
Utilizatorul acceptă totodată că valoarea adusă de Ograda.Co prin utilizarea Fontului crește odată cu numărul de vizualizări ale website-ului. Ca urmare, dacă Fontul dezvoltat de Ograda.Co este utilizat pe un domeniu care are mai multe vizualizări decât cele specificate în pachetul de Licență achiziționat, Utilizatorul va achiziționa pachetul de Licență corespunzător numărului actualizat de vizualizări ale website-ului.
7. LIMITĂRI ALE DREPTULUI DE UTILIZARE
Utilizatorul nu are dreptul de a instala Fontul pe domenii care nu sunt precizate în factura care confirmă achiziționarea Fontului.
Utilizatorul nu are dreptul de a utiliza Fontul pe un domeniu web pentru a realiza el însuși sau pentru a da vizitatorilor website-ului dreptul de a realiza materiale de marketing, publicații sau produse de orice tip. Pentru aceste utilizări, Ograda.Co poate conferi dreptul de utilizare prin încheierea unui Contract distinct, la solicitarea Utilizatorului.
Utilizatorul nu poate utiliza Fontul pentru instalarea pe un calculator, pentru realizarea de materiale în print sau materiale de marketing, inclusiv, dar fără a se limita la advertising, publicații și media (broadcast), pentru aceste utilizări fiind disponibilă achiziționarea unei Licențe distincte.
De asemenea, această Licență nu include utilizarea literelor pentru realizarea siglelor sau a altor elemente de identitate vizuală, utilizarea literelor în aplicații, jocuri, hardware și software. Pentru utilizarea Fonturilor în aceste scopuri, Utilizatorul poate contacta Ograda.Co pentru un Contract de Licență personalizat.
Totodată, această Licență nu poate fi folosită de producătorii de echipamente (OEM). Această interdicție se aplică și Licenței pentru Desktop.
Ograda.co își păstrează toate drepturile de autor asupra Fonturilor, astfel cum este specificat în cadrul Articolului 3 din acest Contract.

Utilizatorul poate oferi acces la utilizarea Fontului persoanei (fizice sau juridice) care e responsabilă de programarea website-ului pe care este instalat Fontul, cu condiția ca Utilizatorul să se asigure că această persoană nu utilizează Fontul decât pentru website-ul Utilizatorului și că va șterge Fontul stocat în dispozitivele personale la finalizarea lucrării.
Persoanele cărora Utilizatorul le oferă acces nu au dreptul de a utiliza Fontul în nume propriu sau pentru alți clienți în afara Utilizatorului.
10. REALIZAREA DE COPII DE BACK-UP
Utilizatorul poate stoca o copie a Fontului în scopuri de arhivare și back-up, pe un singur dispozitiv sau mediu (ex: doar pe un hard disk extern, doar pe un server de back-up, doar pe un cont în cloud).

17. DREPTUL DE AUDITARE
La solicitarea Ograda.Co, Utilizatorul va realiza un audit pentru a confirma că folosește Fonturile achiziționate doar pe domeniul precizat în factura ce confirmă achiziționarea Licenței și că nu depășește numărul de vizualizări potrivit pachetului de Licență achiziționat. Acest audit trebuie transmis către Ograda.Co în cel mult 10 zile lucrătoare de la data solicitării.
18. RĂSPUNDEREA PENTRU ÎNCĂLCAREA CONTRACTULUI
18.1. UTILIZAREA FĂRĂ ACHIZIȚIONAREA UNEI LICENȚE
Dacă Fontul dezvoltat de Ograda.Co este utilizat pe unul sau mai multe website-uri fără achiziționarea unei Licențe, Utilizatorul va plăti prețul Licenței și, la solicitarea Ograda.Co, Utilizatorul va plăti Autorului întregul prejudiciu moral și material cauzat, pentru toată perioada de utilizare neautorizată a Fontului.
18.2. ÎNCĂLCAREA DREPTURILOR DE AUTOR
Cuantumul prejudiciului datorat va fi cel puțin egal cu suma pe care Utilizatorul a dobândit-o prin reproducerea permanentă sau temporară a Fontului sau a unor fonturi derivate, adaptarea sau transformarea Fontului sau a unor fonturi derivate, distribuirea sau închirierea de copii ale Fontului sau a unor fonturi derivate sau cesiunea dreptului de utilizare a Fontului sau a unor fonturi derivate.
18.3. CREȘTEREA NUMĂRULUI DE VIZUALIZĂRI
Totodată, la solicitarea Ograda.Co, Utilizatorul va plăti Autorului întregul prejudiciu moral și material cauzat, pentru toată perioada de utilizare necorespunzătoare a Fontului.
18.4. NERESPECTAREA RESTRICȚIILOR LA UTILIZARE
Dacă Utilizatorul folosește Fontul pentru scopurile în care Licența nu poate fi utilizată, prevăzute la Articolul 7 din Contract, Utilizatorul va plăti Autorului întregul prejudiciu moral și material cauzat.
Cuantumul prejudiciului datorat va fi cel puțin egal cu suma pe care Utilizatorul a dobândit-o prin utilizarea neautorizată a Fonturilor.
18.5. UTILIZAREA DE CĂTRE TERȚI ÎN ALTE SCOPURI DECÂT PENTRU REALIZAREA MATERIALELOR ÎN NUMELE UTILIZATORULUI
Cuantumul prejudiciului datorat va fi cel puțin egal cu suma pe care terțul a dobândit-o prin utilizarea neautorizată a Fonturilor.
19. LITIGII ȘI LEGEA APLICABILĂ CONTRACTULUI
Prezentul Contract reprezintă un contract de cesiune de drepturi de autor reglementat de dispozițiile Legii nr. 8/1996 privind drepturile de autor și drepturile conexe. Legea aplicabilă prezentului Contract este Legea Română.
Părțile convin ca toate litigiile intervenite între ele în legătură cu prezentul Contract să fie supuse soluționării de către instanțele române, potrivit normelor de competență prevăzute de Legislația Română.
Web Font License
1. THE PARTIES
This present Agreement will apply between:
You, the User of the Font you are acquiring, hereafter referred to as the “User” and OGRADA TYPE COMPANY SRL, legally represented by Andrei Ogradă, acting as Administrator, the Author of the Font, hereinafter referred to as the “Author” or “Ograda.Co”.
By purchasing and installing the Font, You automatically agree to all the provisions of this Agreement, as they appear below.
2. OBJECT
The object of the Agreement is the assignment by Ograda.Co of the right to use the Web Font purchased by the User for the web domain specified in the invoice confirming the purchase of the Font by the User.
3. AUTHOR’S RIGHTS
All economic and patrimonial rights to the Font remain with Ograda.Co, and the User’s right to use is only within the limits set forth in this Agreement.
The User does not have the right to permanently or temporarily reproduce the Font by making the Font available to other third parties by any means and in any form, including operations such as: installing, storing, running, displaying or transmitting to others.
When the User has the right to allow the use of the Font by other third parties, these cases are expressly provided for in this Agreement.
The User does not have the right to adapt or change the Font to create a new font for any reason.
The User does not have the right to distribute or rent copies of the Font in any form.
4. NON-EXCLUSIVE NATURE OF THE RIGHT OF USE
The User acquires a non-exclusive right to use the purchased Font. As a result, Ograda.Co can still use the Font and may lease the right to use the Font to others.
The User may not assign his/her right to use the Font to any person other than those expressly provided for in this Agreement or, unless specifically named in the Contract, with the explicit consent of Ograda.Co, in writing and before the User assigns it to third parties.
5. NUMBER OF WEBSITES
The User is entitled to install the Font, based on this License, only on one web site specified in the invoice confirming the purchase of the License.
If the User installs the Font or permits installation on a different web domain than specified in the invoice that confirms the purchase of the Font, it will acquire an additional License that covers the new web domain.
6. NUMBER OF VISUALIZATIONS OF THE SITE
The User accepts that the purchased License pack is valid only for a monthly number of views of the website that uses the Font. This number of views is specified in the purchased License pack.
The User also accepts that the added value brought by using the Font developed by Ograda.Co increases with the number of page views of the website. As a result, if the Font developed by Ograda.Co is used on a domain that has more views than those specified in the purchased License pack, the User will acquire the License package corresponding to the updated number of views of the website.
7. LIMITATION ON THE RIGHT OF USE
The User is not entitled to install the Font on domains that are not specified in the invoice confirming the purchase of the Font.
The User is not allowed to use the Fonts on a web domain which allows the User, or gives website visitors the right to make marketing materials, publications or products of any kind. For these uses, Ograda.Co may grant the right of use by concluding a distinctive Contract, at the request of the User.
The User may not use the Font to be installed on a computer to print or create marketing materials, including but not limited to advertising, publications, and (broadcast) media for which a distinct Desktop License can be purchased.
Also, this License does not include the use of the Font to make logos or other visual identities, the use of the Font in applications, games, hardware and software. In order to use the Fonts for these purposes, the User may contact Ograda.Co for a custom License Agreement.
At the same time, this License can not be used by equipment manufacturers (OEMs).
This injunction also applies to the Desktop License.
Ograda.Co retains all copyrights on Fonts, as specified in Article 3 of this Agreement.
8. EMBEDDING OF THE FONTS
The User can not embed the Font in digital documents, applications, software, hardware or any other form.
9. TRANSMISSION OF THE RIGHT OF USE TO THIRD PARTIES
The User may provide access to the use of Font to the entity (individual or company) responsible for the development of the site on which the Font is going to be used, provided that the User ensures that the entity (individual or company) does not use the Font except for the User's site and that it will delete the stored Font upon completion of the project.
Individuals to whom the User provides access are not allowed to use the Font in their own name or for other clients outside of the User.
10. MAKING OF BACK-UP COPIES
The User can store a copy of the Font for archiving and back-up purposes on a single device or medium (e.g. only on an external hard drive, only on a back-up server, on a cloud account only).
11. DURATION OF THE RIGHT OF USE
The duration of the right of use is equal to the duration of the economic rights of the Author i.e. Ograda.Co.
12. TERRITORIAL USE OF THE RIGHT OF USE
The right of use is for the entire national and international territory.
13. PRICE
The price for the License for the use of the Font is provided for each Font in its presentation section.
14. THE PAYMENT METHOD
The price will be paid in Lei (RON) at the Euro(€)-Leu (RON) exchange rate set by the National Bank of Romania on the day of the payment.
15. WARRANTIES
Ograda.Co guarantees that the Font Software will work for 30 days from the date of purchase, however it does not guarantee that it will work on any computer and on any operating system.
Ograda.Co does not guarantee that the Software has no errors or viruses that may affect the domain and servers on which it is installed or the programs installed on these computers and can not be held liable for any material or non-material damage suffered by the User or third parties as a result of installation of the Software.
16. UPDATES
Ograda.Co provides the User with the improved versions of the purchased font without any additional costs for the User.
In order to benefit from the updated version of the Font, the User must download the new version of the Font from the user account he used to download the previous version, or contact Ograda.Co with proof of previous purchase.
Ograda.Co is not required to make new versions of the User-purchased Font. The right to make and release these versions is exclusive to Ograda.Co.
17. AUDITS
Upon request by Ograda.Co, the User will perform an audit to confirm that he uses the Fonts purchased only on the domain specified in the invoice confirming the purchase of the License and does not exceed the number of page views per purchased License package. This audit must be sent to Ograda.Co no later than 10 (ten) business days from the date of the request.
18. LIABILITY FOR BREACH OF CONTRACT
18.1. UTILIZATION WITHOUT PURCHASE OF A LICENSE
If the Font developed by Ograda.Co is used on one or more websites without the purchase of a License, the User will pay the License price and, upon Ograda.Co's request, the User will pay to the Author the entire non-material and material damage caused, for the entire period of unauthorized use of the Font.
18.2. BREACH OF COPYRIGHT
If the User breaches the Author's rights of Ograda.Co as provided in Article 3 and Article 4 of this Agreement, the User will pay to the Author all non-material and material damages caused.
The amount of damage due shall be at least equal to the amount the User has acquired through the permanent or temporary reproduction of the Font or derived fonts, the adaptation or conversion of the Font or derived fonts, the distribution or rental of copies of the Font or of some derived fonts, or assignment of the right to use the Font or derived fonts.
18.3. INCREASES IN THE NUMBER OF VISITS
If the Font developed by Ograda.Co is used on a domain that has more views than those specified in the purchased License pack, the User will acquire the License package corresponding to the actual number of views of the website.
At the same time, at the request of Ograda.Co, the User will pay to the Author the entire non-material and material damage caused, for the entire period of inappropriate use of the Font.
18.4. FAILURE TO OBSERVE RESTRICTIONS OF USE
If the User uses the Font for the purposes for which the License may not be used provided in Article 7 of the Agreement, the User will pay to the Author all material and non-material damages caused.
The amount of damage due shall be at least equal to the amount the User has acquired through the unauthorized use of the Fonts.
18.5. THIRD PARTIES USES FOR PURPOSES OTHER THAN THE MAKING OF MATERIALS IN THE NAME OF THE USER
If a third party uses the Font in his own name or for other customers except the User, both the third party and the User will pay to the Author all non-material and material damages caused jointly.
The amount of damage due shall be at least equal to the amount the third party has acquired through the unauthorized use of the Fonts.
19. LITIGATIONS AND LAW APPLICABLE TO THE CONTRACT
This Agreement is a contract of assignment of copyright governed by the provisions of Law no. 8/1996 on copyright and related rights. The law applicable to this Agreement is the Romanian Law.
The Parties agree that all disputes between them in connection with this Agreement shall be subject to settlement by the Romanian courts, in accordance with the rules of jurisdiction provided for by the Romanian legislation.
